歐盟近期通過「外國補貼條例」（Foreign Subsidies Regulation (FSR)），針對企業擬進行跨國併購交易或參與歐洲政府大型採購案時需進行事前之強制申報，以審查所涉企業是否領有外國補貼而可能對於歐盟市場造成負面影響，進而確保歐盟企業能處在公平的競爭環境與外國業者競爭。若發現有扭曲競爭（Distortion）情事，相關企業可能需要償還補貼或採行其他補救措施，以便在交割前能順利取得歐盟委員會必要許可。

儘管「外國補貼條例」於2023年10月12日才正式生效，歐盟委員會已被授權對2023年7月12日後經同意簽署之併購交易或政府採購案件開始進行調查。如同我國公平交易法下之結合申報，歐盟「外國補貼條例」亦訂有申報門檻、判斷標準及程序等細部規定。

有鑑於「外國補貼條例」對於台灣企業進行跨國併購交易或赴歐洲參與公共建設影響甚鉅，本次特別商請國際知名律師事務所Cooley LLP二位專精於競爭法律師 Jonas Koponen及Stella Sarma，說明「外國補貼條例」規範重點及運作方式，以協助企業妥為事前規劃。

The European Union has recently passed the "Foreign Subsidies Regulation (FSR)", which requires companies planning cross-border mergers and acquisitions or participating in large-scale government procurement projects in Europe to undergo mandatory prior notification. This is to review whether the companies involved receive foreign subsidies that could have a negative impact on the EU market, and to ensure that EU companies can compete fairly with foreign competitors. If any distortions of competition are found, the companies involved may need to repay the subsidies or take other remedial measures in order to obtain the necessary approval from the European Commission before completion.

Although the "Foreign Subsidies Regulation" will only come into effect on October 12, 2023, the European Commission has been authorized to investigate mergers and acquisitions or government procurement cases agreed upon and signed after July 12, 2023. Similar to the declaration of combinations under Taiwan's Fair Trade Act, the EU's "Foreign Subsidies Regulation" also sets out detailed provisions on declaration thresholds, assessment criteria, and procedures.

Given the significant impact of the "Foreign Subsidies Regulation" on Taiwanese companies engaging in cross-border mergers and acquisitions or participating in public projects in Europe, we have invited two competition law experts from the internationally renowned law firm Cooley LLP, Jonas Koponen and Stella Sarma, to explain the key provisions and operation of the "Foreign Subsidies Regulation" to assist companies in proper advance planning.
