NOTICE FOR CALLING BOARD MEETINGS BY MEANS OF ELECTRONIC TRANSMISSION
According the newly added Paragraph 2, Article 204 of the recently amended Company Act, subject to the consent of the party who is entitled to receive the notice for calling a board meeting, such notice can be delivered by means of electronic transmission. As the Ministry of Economic Affairs advised in its interpretation dated on August 9, 2011, if a company states in its Articles of Incorporation that its board meetings may be called by delivering the notice by means of electronic transmission, it should be deemed that the directors have given their implied consent and that there is no need to obtain their individual specific consent pursuant to Paragraph 2, Article 204 of the Company Act. |

Given the above, it is advisable for a company to add relevant provisions for calling a board meeting by delivering the notice by means of electronic transmission in its next amendments to the Articles of Incorporation. |
