A partner of Lee and Li Attorneys-at-Law, Joyce C. Fan is qualified to practice law in Taiwan, R.O.C. and the state of New York, U.S.A. Her practice areas include: corporate, cross border transactions, competition law, energy law, government procurement & infrastructure projects, M&A, and related dispute resolution. She is experienced in drafting, reviewing and negotiating for various types of commercial contracts.

Joyce has extensive experience in various commercial transactions, with a special focus on infrastructure, in particular energy projects. She works with prominent law firms worldwide to provide clients with needed services across different jurisdictions. She served as an advisor to the Executive Yuan (Cabinet) Committee for Promotion of Private Participation in Infrastructure Projects during 2003-2004. She also served as legal advisor to the Energy Bureau of MOEA from 2004 to 2010.

Milestone cases she worked on include:

1.Renewable energy projects.

●She has been assisting domestic and leading international developers in developing offshore windfarm projects and solar projects in Taiwan. She is the lead local counsel for the very first offshore windfarm project in Taiwan being jointly developed by Orsted, Macquarie and Swancor.

●After the government allocated 5.5GW installed capacity to the offshore windfarm projects, she serves as project counsel for multiple projects with a total installed capacity of around 3.2GW and assist in the project finance process involving multiple local and international developers and lenders.

2.Independent power plants (IPPs) in Taiwan. She was the counsel for international developers such as Southern Electric, Enron, Intergen, and Mobil. She assisted a foreign leading bank in financing for the first onshore wind farm project in Taiwan. She also represented three IPPs in all aspects of project agreements, including EPC and O&M contracts, and assisted several IPPs in power-purchase-related disputes with the state utility, Taipower.

3.Co-generation projects. She assisted two developers in designing innovative project structures to overcome certain legal obstacles for building jointly-established co-generation projects in Taiwan.

4.Taiwan High Speed Rail (BOT) project. She represented Eurotrain Consortium in development of the project and a subsequent major ICC arbitration against Taiwan High Speed Rail Corporation and won.
